FXA SYSTEMS INC.

IMPORTANT NOTICE: These Terms constitute a legally binding agreement between you and FXA Systems Inc. By accessing, downloading, installing, or using any Product or Service, you agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use and delete any downloaded materials.

1. DEFINITIONS AND INTERPRETATION

For purposes of this Agreement: “Products” means all software, indicators, Expert Advisors (EAs), scripts, dashboards, signals, alerts, templates, documentation, and any updates or modifications thereto. “Services” means the website, download portals, customer support, and ancillary offerings. “License” means the limited, revocable, non-exclusive, non-transferable right to use the Products as expressly granted herein.

2. ELIGIBILITY AND ACCEPTANCE

You represent and warrant that you are at least eighteen (18) years of age, have full legal capacity, are not located in any prohibited jurisdiction, and will comply with all applicable laws including securities and anti-money laundering regulations. Your continued use constitutes ongoing acceptance of these Terms.

3. GRANT OF LICENSE

Subject to full payment and strict compliance, FXA Systems grants you a limited, revocable, non-exclusive, non-transferable license to download and install the Products on a single MetaTrader 4/5 terminal for your personal, non-commercial use only. No other rights are granted. You may not copy, modify, reverse engineer, resell, sublicense, or commercially exploit the Products in any way.

4. RESTRICTIONS ON USE AND PROHIBITED ACTIVITIES

You shall not, and shall not permit any third party to:

Use the Products on more than one trading account or terminal without purchasing additional licenses
Share, transfer, or disclose license keys or downloaded files
Use the Products for any illegal purpose or in violation of broker/exchange rules
Attempt to circumvent technological protection measures
Provide signals, copy trading, or managed account services to third parties using our Products
Publish performance results without prior written consent

Any violation results in immediate automatic termination of all licenses and may subject you to legal action.

5. INTELLECTUAL PROPERTY RIGHTS

All right, title, and interest in the Products, Service, trademarks, and intellectual property remain exclusively with FXA Systems and its licensors. Nothing in these Terms transfers any ownership rights to you. All rights not expressly granted are reserved.

6. THIRD-PARTY SERVICES AND CONTENT

The Service may integrate or link to third-party platforms (MetaQuotes, brokers, data providers, etc.). Use of any Third-Party Service is entirely at your own risk. FXA Systems disclaims all liability for damages, losses, or interruptions arising from Third-Party Services.

7. ACCOUNTS, SECURITY, AND REGISTRATION

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must immediately notify us of any unauthorized access. FXA Systems reserves the right to suspend or terminate any account at its sole discretion.

8. PAYMENTS, FEES, AND BILLING

All fees are non-refundable except as expressly stated in our Refund Policy. Prices may change without notice. You authorize FXA Systems (or its payment processors) to charge your provided payment method for all fees, taxes, and recurring charges. Failure to pay entitles the Company to immediately revoke all licenses.

9. REFUND AND RETURN POLICY

STRICT NO-REFUND POLICY. All sales are final once the download link is provided or license is activated. Refunds, if any, are granted solely at the Company’s absolute discretion and only within seven (7) days for technical defects preventing standard MT4 installation. No refunds for buyer’s remorse, perceived underperformance, market losses, or after any use of the Product.

10. TERMINATION AND SUSPENSION

FXA Systems may, at any time and in its sole discretion, with or without notice, terminate, suspend, or restrict your access to the Service, Products, updates, or support. Upon termination, all licenses immediately terminate and you must delete all copies of the Products. You shall have no claim against the Company.

11. DISCONTINUATION OF SERVICES, PRODUCTS, AND SUPPORT

NOTWITHSTANDING ANYTHING TO THE CONTRARY, FXA Systems reserves the sole, absolute, and unfettered right, exercisable at any time, with or without notice and without any liability, compensation, refund, or damages of any kind, to permanently or temporarily discontinue, suspend, or terminate the entire Service or any portion thereof, cease all development, maintenance, updates, upgrades, or support for any or all Products, discontinue any specific indicator, Expert Advisor, dashboard, or feature, or wind down, restructure, or cease operations of the Company in whole or in part. Such actions may be taken for any reason including financial constraints, economic downturns, recession, inflation, market volatility, regulatory changes, or any other economic or operational factors. YOU HEREBY IRREVOCABLY WAIVE ANY AND ALL CLAIMS ARISING FROM ANY SUCH DISCONTINUATION.

12. NO FINANCIAL, INVESTMENT, OR TRADING ADVICE

The Products and Services are provided solely for informational and educational purposes. They do not constitute financial, investment, trading, tax, legal, or professional advice. FXA Systems is not a registered investment advisor or fiduciary. Past performance and backtested results are hypothetical and do not guarantee future results.

13. HIGH-RISK TRADING DISCLAIMER AND ASSUMPTION OF RISK

TRADING FOREX, CFDs, CRYPTOCURRENCIES, AND OTHER FINANCIAL INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. You may lose some or all of your capital. You assume full and sole responsibility for all trading losses, margin calls, and adverse outcomes. You will not hold FXA Systems, its officers, directors, or affiliates liable for any trading losses or damages of any kind.

14. DISCLAIMER OF WARRANTIES

THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR CONTINUOUS OPERATION. YOU DOWNLOAD AND USE THE PRODUCTS ENTIRELY AT YOUR OWN RISK.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FXA SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR SIMILAR DAMAGES (INCLUDING TRADING LOSSES), REGARDLESS OF THE CAUSE OR THEORY OF LIABILITY. THE COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS LESS.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless FXA Systems and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Products, your Trading Activity, your breach of these Terms, or any violation of law.

17. GOVERNING LAW, VENUE, AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the Province of Ontario, Canada. Any dispute shall be resolved exclusively through binding arbitration administered by the ADR Institute of Canada in Ottawa. YOU HEREBY WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

18. MODIFICATIONS TO THESE TERMS

FXA Systems reserves the sole right to modify these Terms at any time. Material changes will be posted on the website or sent via email. Your continued use after the effective date constitutes acceptance of the revised Terms.

19. FORCE MAJEURE AND ECONOMIC FACTORS

FXA Systems shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including economic recessions, financial crises, inflation, currency devaluations, market crashes, regulatory changes, or any other adverse economic or financial conditions.

20. PRIVACY AND DATA PROTECTION

Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

21. MISCELLANEOUS

If any provision is held unenforceable, the remainder shall continue in full force. These Terms constitute the entire agreement between the parties. Failure to enforce any provision shall not constitute a waiver. You may not assign these Terms without prior written consent.
